     300.34 Certificates of incorporation; statements as to 
  par value. 

    When the par value of the shares of stock of a corporation 
 is required to be stated in the certificate of incorporation or 
 in an amendment to it or in another place, it must be stated in 
 respect to shares without par value that the shares are without 
 par value.  When the amount of the stock authorized, issued, or 
 outstanding is required to be stated, the number of shares 
 authorized, issued, or outstanding and the fact that the shares 
 are without par value must be stated.
