308A.141 AMENDMENT OF ARTICLES TO BE GOVERNED BY THIS CHAPTER.
    Subdivision 1. Authority. A corporation or association organized and doing business under
other statutes of this state or under the laws of other states that has conducted business on a
cooperative plan may become subject to this chapter by amending its articles of incorporation to
conform to the requirements of this chapter.
    Subd. 2. Procedure for amendment. (a) A corporation or association organized under
statutes of this state may amend its articles of incorporation in the manner provided under the
statute that it is governed by for the adoption of amendments.
(b) A corporation or association organized under laws of other states shall amend its articles
of incorporation in the manner required by the laws of the state where it was incorporated. After
the articles of incorporation are amended, the corporation or association shall file a certified
copy of the articles of incorporation and amendments with the secretary of state with the fees
and requirements prescribed for filing articles. After filing, the corporation or association is a
cooperative in this state and subject to the provisions of this chapter.
