     300.62 Existing corporation, how to reorganize. 

    The president and secretary of an existing corporation 
 whose certificate or charter does not conform to the 
 requirements of this chapter may execute a new or amended 
 certificate in compliance with this chapter.  The corporation, 
 upon proceeding in all respects as prescribed in the case of an 
 original certificate of a corporation of the same kind, is 
 entitled to all rights, benefits, and privileges conferred, and 
 is subject to all the requirements imposed, upon like 
 corporations by the provisions of this chapter, except that its 
 rights in respect to property acquired or investments made prior 
 to March 1, 1906, are determined and governed by the laws in 
 force at the date of the acquisition and investment, 
 respectively.
