     300.40 Certificate of incorporation to provide for 
  conversion of shares. 

    A corporation's certificate of incorporation, or an 
 amendment to it, may provide that shares of stock of a class are 
 convertible into shares of stock of another class upon the terms 
 and conditions stated in that document, except that shares of 
 stock without par value must not be convertible into shares of 
 stock having par value.
