A bill for an act
relating to arts and cultural heritage; providing a process for community
governance of the Minnesota Orchestra; proposing coding for new law as
Minnesota Statutes, chapter 129E.

BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF MINNESOTA:

Section 1.

new text begin [129E.01] LEGISLATIVE FINDING; ORCHESTRA.

new text begin The legislature determines that:

new text begin (1) having a world-renowned orchestra is an important asset to the state of
Minnesota and ensuring that such a highly acclaimed orchestra is present in Minnesota
is an important public purpose;
new text end

new text begin (2) providing broad-based community governance of an orchestra develops trust
among patrons, taxpayers, and the orchestra's musicians and other staff and helps ensure
this important asset will retain its high level of accomplishment and renown; and
new text end

new text begin (3) enacting legislation providing for community governance indicates to musicians
continuing support for a world-renowned orchestra in Minnesota.

Sec. 2.

new text begin [129E.02] GOVERNANCE; MINNESOTA ORCHESTRA.
new text end

new text begin The Minnesota Orchestra is encouraged to restructure its governance to create a
membership-based governance structure. Under this governance structure:

new text begin (1) any person paying the annual dues specified in the governing documents of the
association would be entitled to elect the board of directors of the association;
new text end

new text begin (2) the bylaws of the association would include specific duties for the board and the
officers and would specify conditions under which the board or officers could be removed
by the membership; and
new text end

new text begin (3) governance decisions not reserved for the board of directors would be voted on
by the membership, with each dues-paying member entitled to one vote on these issues.

Sec. 3. new text begin EFFECTIVE DATE.

new text begin Sections 1 and 2 are effective the day following final enactment.
