  1.1                          A bill for an act 
  1.2             relating to local government; authorizing the 
  1.3             establishment of a specific nonprofit corporation in 
  1.4             development region eight to operate and manage the 
  1.5             Prairieland Exposition Center.  
  1.6   BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF MINNESOTA: 
  1.7      Section 1.  [NONPROFIT MAY RUN PRAIRIELAND CENTER.] 
  1.8      Subdivision 1.  [NONPROFIT CORPORATION MAY BE ESTABLISHED.] 
  1.9   The southwest regional development commission may incorporate or 
  1.10  authorize the incorporation of a nonprofit corporation to 
  1.11  operate programs and manage facilities of the Prairieland 
  1.12  Exposition Center in development region eight. 
  1.13     Subd. 2.  [BOARD OF DIRECTORS.] The corporation must be 
  1.14  governed by a board of nine directors.  The directors must be 
  1.15  named by the southwest regional development commission.  No more 
  1.16  than five of the directors may be persons currently serving on 
  1.17  the southwest regional development commission.  Board members 
  1.18  must not be compensated for their services but may be reimbursed 
  1.19  for reasonable expenses incurred in connection with their duties 
  1.20  as board members. 
  1.21     Subd. 3.  [ARTICLES AND BYLAWS.] The entity must be 
  1.22  incorporated under Minnesota Statutes, chapter 317A, and 
  1.23  otherwise must comply with Minnesota Statutes, chapter 317A, 
  1.24  except to the extent Minnesota Statutes, chapter 317A, is 
  1.25  inconsistent with this act. 
  2.1      Subd. 4.  [EMPLOYEES.] Persons employed by the nonprofit 
  2.2   corporation are not public employees and must not participate in 
  2.3   retirement, deferred compensation, insurance, or other plans 
  2.4   that apply to public employees generally. 
  2.5      Subd. 5.  [CONTRACTING.] The southwest regional development 
  2.6   commission may enter into management contracts or lease 
  2.7   agreements, or both, with a nonprofit corporation that is 
  2.8   established according to this act. 
  2.9      Subd. 6.  [STATUTORY COMPLIANCE.] (a) Minnesota Statutes, 
  2.10  section 16A.695, applies to a management contract or lease 
  2.11  agreement entered into by the southwest regional development 
  2.12  commission and a nonprofit corporation established according to 
  2.13  this act. 
  2.14     (b) The nonprofit corporation must comply with the 
  2.15  provisions of Minnesota Statutes, section 465.719, subdivisions 
  2.16  9, 11, 12, 13, and 14.
