  1.1                          A bill for an act 
  1.2             relating to local government; authorizing the 
  1.3             establishment of a specific nonprofit corporation in 
  1.4             development region nine for certain specified purposes.
  1.5   BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF MINNESOTA: 
  1.6      Section 1.  [REGION NINE DEVELOPMENT COMMISSION; NONPROFIT 
  1.7   CORPORATION ESTABLISHED.] 
  1.8      Subdivision 1.  [AUTHORIZATION.] The region nine 
  1.9   development commission may incorporate and authorize the 
  1.10  incorporation of a nonprofit corporation to reduce dependence on 
  1.11  tax dollars in filling regional service gaps and funding rural 
  1.12  programs by improving the region's access to other funding 
  1.13  sources. 
  1.14     Subd. 2.  [BOARD OF DIRECTORS.] The corporation must be 
  1.15  governed by a board of nine directors.  The directors must be 
  1.16  named by the region nine development commission.  No more than 
  1.17  five of the directors may be persons currently serving on the 
  1.18  region nine development commission.  Board members must not be 
  1.19  compensated for their services but may be reimbursed for 
  1.20  reasonable expenses incurred in connection with their duties as 
  1.21  board members. 
  1.22     Subd. 3.  [ARTICLES AND BYLAWS.] The entity must be 
  1.23  incorporated under Minnesota Statutes, chapter 317A, and 
  1.24  otherwise must comply with Minnesota Statutes, chapter 317A, 
  1.25  except to the extent Minnesota Statutes, chapter 317A, is 
  2.1   inconsistent with this act. 
  2.2      Subd. 4.  [EMPLOYEES.] Persons employed by the nonprofit 
  2.3   corporation are not public employees and must not participate in 
  2.4   retirement, deferred compensation, insurance, or other plans 
  2.5   that apply to public employees generally. 
  2.6      Subd. 5.  [CONTRACTING.] The region nine development 
  2.7   commission may enter into management contracts or lease 
  2.8   agreements, or both, with a nonprofit corporation that is 
  2.9   established according to this act. 
  2.10     Subd. 6.  [STATUTORY COMPLIANCE.] (a) Minnesota Statutes, 
  2.11  section 16A.695, applies to a management contract or lease 
  2.12  agreement entered into by the region nine development commission 
  2.13  and a nonprofit corporation established according to this act. 
  2.14     (b) The nonprofit corporation must comply with Minnesota 
  2.15  Statutes, section 465.719, subdivisions 9, 10, 11, 12, 13, and 
  2.16  14.
